My take on Californiaās āOne-Timeā Billionaire Tax. Itās much worse than it looks.
š Will it pass? Yes, likely.
It only needs 50%+1 voter approval. SEIU + CTA have done this beforeāProp 55 won 63% in 2016.
āļø Will it get tied up in litigation?
Almost certainly. Retroactive wealth tax on a tax type CA has never had = due process challenges. Billionaires have the legal budgets for years of fights.
š But itās clearly ⦠only the start. The goal is an annual tax, not one-time. And the target is $25m-50m net worth folks, including illiquid foldings (early stage founders raising a Series B).
The āone-timeā framing is strategic, not terminal.
The same coalition (CTA, CFT, SEIU) already has AB 259 writtenāan >annual< 1% wealth tax at a >$50M threshold<, with plans to go to $25M. Itās been introduced 3 years running.
The one-time tax removes the constitutional barrier. Once thatās gone, the annual version becomes a much easier ballot measure.
š CA Policy Center said: āIf SEIU hopes to keep Medi-Cal spending growing, it may need to place repeated wealth taxes on the ballotāpotentially lowering the threshold as billionaires flee.ā
The real risk for founders:
At $1B, youāre taxing ~200 people. At $50M, youāre taxing 23,000 householdsāincluding most successful founders on paper before any liquidity event.
The rational move isnāt to leave when you hit the threshold. Itās to leaveāor never incorporate in CAābefore you get anywhere close.
āļø Net net: it will make sense to leave before the Series B.
Vinod Khosla nailed it: āEven people who donāt expect this initiative to pass are still planning to leave because there will be another one.ā
The one-time tax is the constitutional Trojan horse. The annual tax ā at a much lower threshold ā is already waiting inside.

It's the creator's job to hide complexity from the consumer.
Take writing. As a writer, your task is to simplify and distill your message until you're left with only the essence of what you're trying to say.
The reader's experience should be frictionless. The sentences should flow. The structure should be intuitive. Getting there requires a lot of editing, deleting, and rearranging that the reader will never appreciate āĀ and that's the point.
This leads to the Paradox of Creativity: Your work is done when it looks so simple that the consumer thinks they could've done it, which means they won't appreciate how hard you worked.

We have $30 trillion of debt.
Politicians have somehow convinced themselves it doesn't matter, but don't let them convince you of that--it's not true.
We are planning to add a trillion more each year.
We are on a very bad path, and the only good way out is economic growth.
