Your cap table says an investor owns 10,000 shares. Your shareholder register says 9,500. Now someone has to figure out where those 500 shares went before the next financing or share transfer.

Imagine two systems showing different owners for the same shares. Both have a transaction history. Both look up to date. Which one actually determines who owns the shares? That's a legal and market-infrastructure question, not just a data-sync problem.

Putting shares onchain and recording share ownership onchain aren't necessarily the same thing. At Fairmint, we're building infrastructure around the authoritative shareholder register, where ownership is officially recorded. We're an SEC-registered transfer agent.

Guys, @fairmint gets it. Customers have preferences, and issuers are customers too. Tokenize the WORLD 🔥

yeah better to ask issuers what they actually need than spend months trying to sell them something they never asked for…

Tokenizing a stock is one thing. Making sure the transfer actually updates who owns the shares is another. Fairmint CEO @Joris_DLN explains why the ownership record matters in his latest TabbFORUM op-ed 👇 tabbforum.com/opinions/token…

Sounds familiar 😉 I've been saying for years that tokenization will become a commodity. More assets onchain, lower fees per asset. What matters is what people can actually do with them.
Pete Christiansen explains why @Citi downgraded Securitize to neutral: “We do believe that tokenization is going to proliferate among equities, bonds, what have you, but how much are they gonna get paid for it is a big question.”

A share transfer can be completed while the official shareholder register still needs to be updated but with an authoritative onchain register, a valid transfer can update ownership directly. No separate register update needed.

Everyone wants to tokenize stocks. Meanwhile, Broadcom, Verizon, CoreWeave and others are objecting to having their shares traded on OKXICE. Maybe the industry should start building with issuers instead of treating them as an afterthought. 🤷‍♂️

Ownership is the future. But Robinhood's Stock Tokens offer price exposure without ownership of the underlying shares. Quite a difference, isn't it? 😉
The most powerful thing we can give the next generation is ownership in the future. Giving every child a stake in innovation and technology with @TrumpAccounts can help make the American dream more tangible for millions of families. Long-term thinking starts early.

A company can have 10M authorized shares, 6M issued and only 5M outstanding. The difference? 4M shares haven't been issued, while 1M were repurchased and are held in treasury. That's why authorized, issued and outstanding shares are three different numbers.

Yet, equity issuers still don’t know who their shareholders are. We fix this @fairmint 😉

With more and more equity being tokenized and traded, what @fairmint is building makes a ton of sense. Recommend checking them out 🔎

A company might use one platform to fundraise, another to manage equity, and a transfer agent to maintain shareholder records. They all need to work with the same equity data. That's what OCF is for: a common format that helps these systems work together.

Two systems can show the same shareholder and the same number of shares. Only one record may have the authority to determine registered ownership. That's an important distinction when bringing securities onchain.

Finding a buyer for your private-company shares doesn't mean you can sell them right away. You still need to check transfer restrictions, get the necessary approvals and record the ownership change. Even when both parties agree on a price, the transfer isn't automatic.

After a funding round, the cap table gets updated but who maintains the actual shareholder register? And when an investor wants to transfer shares, who checks the restrictions and records the ownership change? Worth figuring out before the first transfer request.

This is why I am so bullish @fairmint. We build for issuers; they are our primary customers. It takes a lot more efforts, but gaining the issuers' trust is *THE* moat!
