The main risk you take when investing in a bitcoin treasury company instead of investing in $BTC directly is the management/key man risk. That is why transparency from and trust in the management of BTCTCs is so important. Great input from @GrafYves on @Metaplanet 👇🏼
I wanted Simon’s post to change my mind. It didn’t. I took some time before writing this because I try to follow Michael Saylor’s philosophy of being cheerful and constructive. But being constructive does not mean staying silent when something is wrong. Sometimes the best thing you can do for an industry you believe in is call out bad behavior, accept some short-term pain, and make sure we come out stronger on the other side. So here goes. I appreciate that @Metaplanet $MPJPY $MTPLF has listened to shareholders and made further changes to the Series 10 compensation structure. But in my view, this is still not good enough. The changes feel like the bare minimum required to somewhat appease an increasingly frustrated shareholder base rather than a fundamental acknowledgment of what went wrong. And for me, this ultimately comes down to one thing: TRUST. Bitcoin Treasury Companies are built on capital allocation, alignment and, above all, trust between management and shareholders. That trust has been seriously damaged at Metaplanet. I expected much more from the management team. And frankly, I expected more from parts of the Bitcoin community as well. I saw far too much sheep mentality throughout this debate: people defending actions because of their own interests or allegiances rather than objectively asking whether those actions were right. That is not what Bitcoin should be about. And yes, @DavidFBailey's role throughout this controversy deserves to be called out. In my view, his defense of conduct that I find indefensible has been deeply disappointing, although unsurprising. But this is bigger than any one person. If Bitcoin Treasury Companies are going to become a serious part of global capital markets, we need higher standards, not lower ones because the people involved are “on our side.” Transparency matters. Alignment matters. Governance matters. And most importantly, principles matter. Short-term criticism may hurt. But ignoring problems because we want to protect the industry will hurt far more in the long run. Metaplanet can still rebuild that trust. But trust isn’t restored by doing the bare minimum. It is restored through actions, transparency and genuine alignment with shareholders over time. I want Metaplanet to succeed. I want Bitcoin Treasury Companies to succeed. And that is precisely why I believe we need to hold them to a higher standard. Supporting an industry does not mean defending everything that happens within it. Sometimes supporting it means being willing to call out what needs to change. And to the few people who were willing to speak up, ask the uncomfortable questions and stand their ground when it would have been easier to stay silent: thank you. It matters. And I believe the entire Bitcoin treasury industry will ultimately be stronger because of it. As @thebtcpharaoh put it: “History will remember those who defended the principles written into Bitcoin, and those who took the other side.” I know which side I want to be on.

A Letter to Metaplanet Shareholders: Over the past several weeks, many of you have asked questions about Metaplanet's compensation structure, governance, and the decisions we made as we transformed the business in less than two years from a struggling Japan-centric hotel operator into a global Bitcoin treasury company. Those conversations are important and warrant thoughtful responses, and I have tried to provide them with this note, which I hope you will read in its entirety. Most importantly, as I reflect on where Metaplanet is today, one thing is increasingly clear: we are no longer the company we were when the incentive structure at the center of this dialogue was created. We have grown faster than any of us imagined, our shareholder base has become truly global, and our business has evolved significantly. As the company matures, our governance, compensation, and communication practices must mature with it. That is why our Board of Directors has decided to further evolve the adjustments to the Series 10 stock acquisition rights and cancel 41% of the associated shares, resetting the conversion ratio to the level that existed before our international offering in September 2025. While as a Series 10 holder I recused myself from this decision, I fully support it. We all agree that we have one paramount goal: to ensure shareholders have complete confidence that we are aligned with them, in both action and intention. The original structure was designed for a very different stage in our history, when the company was much smaller and its future far less certain. It served an important purpose during that time. But leadership requires the willingness to revisit past decisions when circumstances change. One of the lessons of the past two years is that the same qualities that enabled our transformation, namely conviction, innovation, and a willingness to challenge convention, must now be matched by greater discipline and even more thoughtful oversight. The Board’s decision, and the consent of the Series 10 holders, reflect our evolution as a company. We will continue to assess and refine our practices as Metaplanet grows, and our responsibilities to shareholders grow with it. What’s Changing: Here are the three key components. The full Tokyo Stock Exchange timely disclosure is linked in the post below. Note that the amended terms were considered, formulated and approved by our Board of Directors, and were then agreed with the unanimous consent of all Series 10 holders. As the only director holding Series 10 rights, I did not participate in the deliberation or the vote. 1. We are resetting the conversion ratio to 1:410 The ratio of warrants to shares started at 1:100 and was fixed on August 18, 2026, at 1:696. It will be reset to 1:410, which is where it stood immediately before our international share offering in September 2025. September 1, 2025, the date of our final Bitcoin purchase disclosure before that offering, represents a natural inflection point in our journey. Up to that point, enterprise value was driven primarily by the efforts of the team that conceived, financed, and executed Metaplanet's transformation. After the international offering, growth in both our share count and Bitcoin holdings increasingly reflected our ability to access larger pools of capital and scale the Bitcoin treasury strategy. This offering is the point at which capital raises became less accretive (still accretive, but less so), and it is the point identified as giving Series 10 holders disproportionate value relative to existing shareholders. This action, which extinguishes over $220 million of warrant value, reduces the number of shares underlying the warrants by 41%, reduces the fully diluted share count accordingly, and increases Bitcoin per fully diluted share by approximately 8.8%. 2. We are imposing additional exercise conditions Under the new terms, all unvested warrants are subject to extended restrictions on exercisability, with one-third of this pool becoming exercisable in 2029, one-third in 2030, and one-third in 2031. The five-year lock-up agreed to last month is unchanged, so shares received on exercise remain subject to that lock-up until it expires. For full details please see the TSE disclosure. 3. We are cancelling the allocation of warrants to a new employee incentive pool and instead accelerating our design of a new compensation program. The 20% of warrants previously earmarked for transfer to an employee incentive pool will not be transferred. Those warrants are simply cancelled, as part of the 41%. We will develop a new plan in consultation with a leading global compensation consultant to incentivize new hires. We will share details as the design progresses. How We Got Here: Those are the headlines. But it's important at this moment to take a step back and remember where our journey began. This is critical to understanding why the Series 10 stock acquisition rights were created, the circumstances which provided the backdrop, and the meaningful risk taken by those who invested in those warrants at a very different moment in time. Building a Bitcoin treasury company in Japan was unprecedented for any enterprise, let alone a small Japanese hotel operator emerging from a difficult period. There was no playbook for what came next. As a near-bankrupt TSE-listed Japanese company, our circumstances were not analogous to any of our peers, not the one company that came before us nor the many that have followed. The team that conceived of this innovative transformation and took on this challenge, myself included, did so when the outcome was highly uncertain. We invested our time, our careers, and our own capital into a company that was far more likely to fail than to succeed. We were paid very little cash compensation to do it and that remains the case today. Instead, to attract and retain the people needed to rebuild the company, shareholders approved a long-term equity ownership and incentive program: the Series 10 stock acquisition rights. Holders purchased those rights with their own capital, accepted significant restrictions, and faced a multi-year vesting period. If the company failed, the team would receive virtually nothing for the effort they put in. The objective was to align the people rebuilding the company with its long-term success, unlock extraordinary motivational force, and sustain that for a period of high growth. The Series 10 stock acquisition rights were never intended to incentivize non-accretive or modestly accretive dilution. Instead, during the initial phase of high growth, this structure allowed us to assemble a talented team and then transform the company by rapidly acquiring Bitcoin in a highly accretive manner. The adjustment we are announcing today seeks to ensure that intention is reflected in the outcome for our shareholders. The Series 10 stock acquisition rights and their impact were publicly disclosed and reflected in the fully diluted share count, as well as in the BTC-per-share and BTC Yield metrics we shared with investors. We also now recognize that disclosure and awareness are not always equivalent. Since then, Metaplanet has evolved dramatically. What began as a turnaround has become one of the most closely followed Bitcoin treasury companies in the world. In record time, we became the largest publicly traded Bitcoin owner in Asia and one of the largest Bitcoin treasury companies globally, despite operating in one of the world's most conservative financial and regulatory environments. In fact, today we are the only non-U.S. company among the top 16 global Bitcoin treasury platforms. Our Commitments Going Forward: With these factors in mind, we are taking several other steps to ensure our structure and practices continue to mature as the business does. First, we are engaging independent external experts to help create a new compensation program to ensure it appropriately aligns management incentives with long-term shareholder value creation. Second, we are continuing to institutionalize the company. This includes strengthening board oversight and appointing five new board members across the March 2025 and 2026 annual shareholder meetings, representing half of our ten-member board (nine of whom are independent), and including those with experience at leading global audit firms, law firms, and financial institutions. Strong governance is a priority at Metaplanet. In addition, we have expanded our leadership team, added experienced professionals across the range of critical support functions: accounting, legal, compliance, operations, and technology, and enhanced the internal controls required to support a company of our scale and complexity. These strengthening efforts have been implemented in less than 18 months and we will continue to do more. Third, we are committed to increasing transparency and shareholder engagement, providing additional context around our capital structure and financing activities, and engaging with shareholders in both English and Japanese in a consistent fashion. These actions are particularly important as Metaplanet continues to expand internationally, including through the pending acquisition of a controlling stake in Super League Enterprise, a Nasdaq-listed company. As we look ahead, our goal is simple: to build a company that endures and that captures the vast opportunity in Bitcoin for the benefit of shareholders. Metaplanet is the story of a small company that reinvented itself, built a new model in a market where few believed it was possible, and became one of the most significant Bitcoin treasury companies in the world. We have been more successful than any of us imagined when we began, and we have an extraordinary growth path ahead. Along the way, we will do our best to make the right decisions, and when we get it wrong, we will adjust with the interests of our shareholders top of mind. We are proud of what we have built, and we remain deeply committed to our shareholders. Thank you for your support, your engagement, and your belief in what’s ahead. Strive CEO @ColeMacro answered my compensation questions in 1 hour and 8 minutes 🤯 Love this level of transparency. Here's their employee compensation framework:
These are fair questions, and I agree with the core principle behind them. Compensation should be structured so that the team does well when shareholders do well, and the incentives should be tied as directly as possible to the outcomes we are trying to create. I wrote about our philosophy last September: xitter.cf/ColeMacro/status/19701… Our short-term incentives are driven by increasing Bitcoin per share and meeting all of our obligations. Our long-term incentives are driven primarily by outperforming Bitcoin, because Bitcoin is the hurdle rate, as well as our performance relative to the broader stock market. If we fail to pay any dividend on $SATA, bonuses do not get paid. On the long-term side, the highest payouts require us to outperform Bitcoin and perform among the top tier of publicly traded companies. We worked with compensation consultant Mercer to build the framework. My direction was to benchmark overall compensation around the 50th percentile of the market for comparable roles, while making the incentive structure as aligned with shareholders as possible. Across our 30+ employees today, annual salaries total approximately $8 million. Aggregate short-term (annual) incentives have a target of approximately $5 million and a maximum of approximately $11 million, while long-term incentives have a target of approximately $21 million per year and a maximum of approximately $41 million. The long-term incentives are earned over a three-year period. That means total annual compensation across the entire Strive team is approximately $34 million at target, including salaries, short-term incentives and long-term incentives. Maximum compensation under the current structure would be approximately $60 million, but getting there requires exceptional performance. At today’s roughly $2.1 billion equity value, target equity compensation represents less than 1% of the company annually, and even if we maxed out the current performance framework, the annual equity component would be approximately 1.9% of today’s equity value. Importantly, because these are three-year awards and are tied to both outperforming Bitcoin and being a top equity performer, the actual percentage of the company represented by that compensation on a forward-looking annual basis would likely be substantially lower if those maximum outcomes were actually achieved. On the 5% incentive reserve specifically, that is simply capacity under the plan. It is not an annual grant, an annual target, or an expectation that 5% of the company will be issued every year. We have not issued 5%, and as you can see from the current structure, we are not operating at anything close to a 5% annual pace. The purpose of the reserve is to give the company enough flexibility to recruit and retain talent without repeatedly going back to shareholders simply to replenish the plan, while actual compensation remains capped and tied to performance. There is another side of this that I think is important to be transparent about. My responsibility as Chairman & CEO is not only to recruit the best people, but to retain them. I believe we have an exceptional team that works incredibly hard, has great chemistry, and has produced results that reflect that. When I look across the industry, there are companies that offer similar or greater compensation with substantially easier performance hurdles. If Strive continues to outperform, grow Bitcoin per share and scale the company, I am much more concerned about losing great employees to competitors than I am about our team being overcompensated. As Strive grows, I expect we will continue to reassess compensation to make sure we can recruit and retain the best talent. But the principle will not change: compensation should be competitive enough to retain exceptional people, tightly aligned with shareholder outcomes, and structured so that significant upside for employees comes from significant performance for shareholders.

Here’s what I’m expecting in tomorrow’s 8-k. $MSTR ATM: ~$2.0B sold • Aug 3-7: 6.6M shares sold / 50.5M traded = 13% of volume, avg $99.20 • Aug 17-21: 18.3M / 112.1M = 16% of volume, avg $109.88 • Last week: 104.8M shares traded, heaviest on the premium days (Thu 29.4M, Mon 26.1M) • mNAV: ~1.02 Monday → 1.10 Thursday. They sell harder when premium expands • ~16% participation at ~$127 VWAP = ~16M shares, ~$2.0B $STRC buyback: ~$160-190M • Filed repurchases = 28% then 24% of STRC’s weekly volume • Last week: 7.1M shares traded at ~$97.5 • 25% of that tape = ~1.8M shares, ~$175M $BTC: ~23,000 BTC bought • Cash is at sufficient levels, doubt they added more • Full deployment of the rest: ~$1.8B • Stock sold at $127 = equivalent to bitcoin priced at ~$84k on the balance sheet • Spot averaged ~$79k → every coin ~6-7% accretive • Holdings above 860,000 BTC The $1.59B Cash Reserve from the prior week: untouched • Raised at $109.88 avg = bitcoin priced at $75k • Using it to buy BTC at $79k would be dilutive Now we wait.

$44.1M raised through $SATA, $54.5M through common ATM $ASST, proceeds of $98.6M, of which $81.5M were used to purchase $BTC, and $17.1M increase of USD reserve. Continued flawless, disciplined execution of the strategy by @Strive! 5% increase of their BTC stack in 1 week…! You’re not bullish enough.

Dear @saylor, In August 2022 I listened to you talk to Lex Fridman for four hours (twice), then sold my house, levered up, and bought $MSTR. It remains the highest-ROI meeting I ever attended, and it changed my life. This letter is me returning the favor. On Friday bitcoin closed above its 200-day moving average for the first time since January, on the back of the most impressive rally I can remember since I’ve been in the space. $MSTR’s mNAV slightly contracted. It didn’t work as designed. And hasn’t for some time. In July you rebuilt your metrics around net bitcoin per share, with mNAV now measuring the equity against what remains for common after the senior stack. It was the right redesign. As written, your framework issues stock above 1.0x and considers buying it back below 1.0x. Both intervention points sit on the same line. A currency sold in unlimited size the moment it trades above par will not trade above par, and a defense of par that stays discretionary will not hold par either. As you know all too well, central banks have run that experiment for a century at public expense. The market remembers July 31, 2025, and the 2.5x floor, and the eighteen days it lived before “otherwise deemed advantageous” appeared, and the roughly $14B of stock sold under the old line since. You had reasons each time. So here’s how you blow the fucking wings off the shorts: Give the ATM what your credit stack already has, a hurdle rate. Your July materials define a required return for every instrument on the dashboard except the one that dilutes your common equity. Set it at a reasonable number, below which, the digital credit you built does all the work. And strike “advantageous” from the documents entirely. That clause is most of the discount. The market is already paying for legibility elsewhere: Strive runs proportionally more preferred against its bitcoin than you do, and the market has consistently sustained its premium through the bear market due to their disciplined issuance. You spent six years teaching us that bitcoin is the asset you never sell. Predictability turns out to be the asset you never needed to sell. Publish the rule. The shorts borrow your stock on the assumption that you will supply every rally, and I would genuinely enjoy watching you take the other side of that trade. With respect, The Bitcoin Pharaoh ‘CC @phongle

My take on the USD reserve. tldr: I think it’s now large enough. @Strategy should stop using the common stock ATM to increase it further- for now. 1. Last week’s $650M increase in the USD reserve didn’t impress the market. Both $MSTR and $STRC traded down on Monday after the announcement and ended the week lower. Obviously, one week doesn’t prove causation, but at this point I don’t see evidence that adding even more coverage is helping STRC. 2. Strategy went from one extreme to the other. In June, they depleted the reserve to below 6 months of coverage to repurchase $1.5B of convertible debt. Now they’ve built it to almost 3 years. @CernBasher's chart illustrates this volatility in the USD reserve nicely. 3. Compare that with @Strive . They’ve been much more predictable and consistent, keeping reserve coverage around 18 months. In my view, part of $SATA’s outperformance vs. STRC comes from exactly this. Investors simply have a more predictable product. 4. And just because Strategy has almost 3 years of coverage today doesn’t mean investors know it will stay there. Strategy’s guidance is to maintain a minimum of 12 months of USD reserve coverage. So another drawdown (to repurchase more convertible debt) remains possible. I’m not saying that would be a bad move for Strategy long term. I think eliminating the converts and cleaning up the balance sheet is ultimately the right move. But in the short term, it would reinforce the uncertainty around the USD reserve and likely hurt STRC. So what would I rather see Strategy do? 1. Focus on getting STRC back to par: Continue opportunistically issuing MSTR common through the ATM over the coming weeks/months, but use those proceeds for STRC (and potentially other preferred) buybacks. Right now, I think that has the highest marginal impact. 2. Once STRC is back at par, restart the STRC ATM. Then use the proceeds for BOTH: - buying Bitcoin - increasing the USD reserve enough to keep dividend coverage roughly constant Essentially the disciplined approach Strive is taking. 3. Wait for BTC and MSTR to recover before attacking the converts. Once Bitcoin returns to an uptrend, sentiment improves and mNAV expands, use MSTR common issuance to repay convertible debt. 4. Build the massive USD reserve during the next full-blown bull market. If/when mNAV gets back above 2–3x, aggressively hit the common ATM to buy Bitcoin - and then increase the USD reserve toward 4–5 years of coverage. That’s when a huge reserve makes sense to me: when you can build it by taking advantage of a high mNAV and prepare the balance sheet for the next bear market. Imagine Strategy entering the next bear market with: 1 to 1.5M BTC + $20–30B in cash. That would give them enormous optionality. STRC and the other preferreds would likely trade much stronger than they have during this bear market because of the huge reserve behind them - potentially allowing Strategy to issue prefs and buy Bitcoin cheaply. They also wouldn’t need to rely nearly as aggressively on common issuance during the downturn. That could help MSTR maintain an mNAV comfortably above 1.0, preserving the ability to issue common accretively to fund dividend obligations and/or buy more BTC. So overall, I agree with the idea of eventually having 4 to 5 years of USD reserve coverage. I just don’t think now is the time to build all of it. My preferred sequence: STRC back to par → disciplined STRC ATM → BTC bull market/mNAV expansion → repay converts → aggressively build BTC + USD reserve at high mNAV → enter the next bear market with an absolute fortress of a balance sheet. @chasepalmieri @saylor @phongle @ColeMacro @TylerCompiler
Is Strategy's USD reserve large enough? This chart shows Strategy's $4.65 billion reserve compared to the outstanding debt balance ($6.754 billion - red dashed line), and 2 yrs, 3 yrs & 4 yrs of preferred dividends (dotted lines). They are approaching 3 years of dividend coverage ($5.207 billion). If they take the USD reserve up to 4 years of dividend coverage ($6.942 billion) they will also have zero net debt. Is a zero net debt position required? No, but it would probably give investors a lot of confidence right now. The chart was inspired by this excellent interview with @RobinSeyr by @GrafYves

Many are still valuing Strategy $MSTR as if it's simply a company that buys Bitcoin. It's becoming much more than that. It can raise capital, manage billions of dollars, support its digital credit instruments $STRC, and strengthen its balance sheet. Strategy has evolved and many are missing that part.
Strategy $MSTR is no longer just accumulating Bitcoin. It's actively managing its balance sheet. This week alone: • Issued $290M of $MSTR • Sold $104M of BTC • Increased its USD reserve to $4B • Bought back $81M of $STRC The goal isn't maximizing Bitcoin accumulation today. It's rebuilding confidence in the capital structure so it can compound faster tomorrow. 00:00 Strategy SHOCKS the Market Again 03:25 Is STRC Finally Recovering? 05:17 The Next Big Move: Cleaning Up the Balance Sheet 07:50 The Hidden Cost of Strategy's Plan 09:30 Why This Could Pay Off Long-Term 10:36 The Biggest Lesson About Bitcoin Custody watch the full episode 👇

Trade update: Family office sold MU near $1132 on 26 Jun, now ~$808 (−29%). Bought STRC near $74.57, now ~$92 (+23%) plus ~$1.48/share in dividends collected (~2%). On $5m legs the STRC side sits up ~$1.26m while the sold MU would be down ~$1.43m. Rotation has outperformed so far.

This is my favorite slide in the new @Strive deck. We’re all grateful for everything @Strategy has done to innovate in the #bitcoin treasury space. But we $ASST $SATA are building a pretty nice track record of innovating in our own right.

Our team is on a hot streak, continuously striving for excellence. Becoming the first corporation to pay daily dividends was not an easy task. It took months of work across NASDAQ requirements, DTCC mechanics, our transfer agent, lawyers, and the operational logistics of what was actually possible. Our team was faced with several "it's never been done" conversations, but relentlessly pushed. The strength, intelligence, and determination of our team can not be overstated. Despite the market headwinds, in the last 9 months we've: - Become the first Bitcoin treasury company with Preferred Equity only balance sheet - Second to IPO a perpetual preferred equity - First to establish a USD dividend reserve, and increase it while increasing our Bitcoin stack. This reserve helps us manage $SATA responsibly and support the dividend framework. - Established the highest Bitcoin amplification from preferred equity. - Successfully completed the first acquisition of a Bitcoin treasury company.
