Grateful for the #IRS employees that continue to do their best to serve taxpayers and improve tax administration. I don't think it's an easy environment at the agency. - IRS says it needs top performers, even if they don’t all get the performance ratings they deserve  govexec.com/management/2026/… via @GovExec @jory_heckman

See Reg. 301.7216-3(a)(2) - for example, if I use offshore return preparers, and they don’t sign the consent, I couldn’t prepare their return… that’s the example in the reg.

FWIW - I've spent ~$40k on legal consulting this year on this specific issue. To save everyone the money, you need a 7216 disclosure consent signed. Until we get guidance stating otherwise, AI is different than purpose-built tax/pm software and likely won't qualify for exceptions to 7216 the way tax/pm software will.

Alex Hormozi tells people to borrow against their assets instead of selling them. Borrow $1 million, owe $0 in tax on it. The mechanism is real. A loan isn't income. 4 conditions decide whether it works for you: You need collateral a lender will actually lend against. Public stock and real estate qualify. A private operating business usually doesn't, which rules out most 7-figure founders right there. The asset has to grow faster than the interest rate. Otherwise you're paying a fee to delay a tax bill you'll still owe. The interest isn't automatically deductible. Deductibility depends on what you did with the money, which means proceeds have to be traced and documented at the time. The debt still gets serviced, from cash you have to produce somewhere. It's built for people whose wealth is already liquid and appreciating. For everyone else it's leverage wearing a tax strategy costume. If you're doing $1M+ and want someone proactive to run your tax function, DM me for a free 1:1 audit.

100% legal loophole: put $16K down on $80K of equipment and deduct all $80K. Financing doesn't reduce a depreciation deduction. Qualifying equipment can be fully expensed under current law regardless of how much cash you actually parted with. Catch: placed in service, not purchased. Ordered December 28 and delivered January 3 means next year's deduction.

An LLC does not protect you if you treat the business account like your own wallet. One consulting owner learned this at the cost of his home, his personal savings, and his retirement accounts. He did everything most owners do without thinking. Moved business income into his personal account when it was convenient. Paid for groceries and travel on the business card. Never set up real bookkeeping. Individually, none of it felt like a decision. Then a client sued him. The court looked at the pattern, decided the LLC was not a real separate entity but an extension of him, and pierced the veil. Every asset he thought the LLC was protecting became fair game. Courts call the trigger commingling, and it is the single most common reason veils get pierced. Single-member LLCs get the most scrutiny, because there is only one person who could be blurring the line. The protection you thought you bought when you formed the entity is not automatic. It is a set of boring habits. Separate account, separate card, every owner draw documented as a draw. The paperwork is the shield. Without it the entity is just a name on a form.

the 2 frontier AI labs have been allowing employees to donate shares of equity to a Donor Advised Fund pre-IPO this is a huge planning opportunity typically, you cannot donate highly appreciated securities before they are publicly traded >1 lab is giving employees a choice on which DAF provider to use out of 3 popular options (main choice: pay upfront % to newer entrant DAF co. or pay ongoing % of assets in the DAF to incumbent DAF co.) >1 lab has a private DAF already in place where shares are sent it is not as simple as "transfer shares to my personal DAF and take a deduction" A few things we are thinking about: 1. Holding period matters (a lot) If the shares have been held for more than 1 year, the deduction is generally based on fair market value. If held 1 year or less, the deduction is generally limited to COST BASIS. this essentially defeats the purpose. that makes lot selection very important. 2. You need a real valuation by an appraiser a 409A, tender price, or last funding round does not automatically equal the charitable deduction value. private stock donations and certain crypto holdings generally require a qualified appraisal. and the appraiser may apply discounts for lack of marketability, transfer restrictions, minority ownership, etc...but typically in line with current FMV in my experience 3. Timing matters you want to complete the gift while you are still donating stock If a tender, sale, acquisition, or other liquidity event becomes sufficiently fixed before the donation is complete, you can run into assignment-of-income issues 4. The company has to actually allow (and help coordinate) the transfer Private company shares often come with: >transfer restrictions >ROFR provisions >company consent requirements >repurchase rights >shareholder agreement restrictions the fact that companies like OpenAI and Anthropic are creating a path for charitable transfers removes one of the biggest historical hurdles not every form of equity is equally easy to donate There is a big difference between: >vested common shares >recently settled RSUs >exercised options >unexercised options you need to know exactly what security is being transferred, when it was acquired, and what its basis is expect additional diligence, legal documents, company approvals, appraisal work, and coordination with the cap table administrator the point? you avoid ALL capital gains that you would have paid by selling the equity outright AND a charitable deduction on your tax return, which can be huge Long-term appreciated property donated to a public charity is generally subject to a 30% of AGI (Adjusted Gross Income) deduction limit unused deductions can generally carry forward for 5 years. once the shares are donated, they are gone. the gift is irrevocable. steps are typically as follows: 1. choose a DAF sponsor (if there's a choice) 2. open/fund the DAF with the sponsor 3. obtain company approval and instructions for the charitable transfer and what's allowed 4. decide how much to give and execute stock powers/assignment agreements or electronic transfer documents 5. obtain written acknowledgment from the DAF confirming receipt and contribution date (acknowledgement letter) 6. obtain the qualified appraisal and complete Form 8283 process (company has a big accounting firm do this and pays for it - which is taxable income to employee) 7. coordinate with your accountant at tax filing time to claim the appropriate deduction the more you know...

I think in most cases I agree that Ohtani should be MVP. Like, to me, the years he won, '21, '23, '24, '25, were all WELL deserved. I agree that he lost in 2022. Aaron Judge's offensive season was the best we had seen in... 15 years? He was 50% the better hitter than Ohtani that year. I don't think that was a question at that point. Now in 2026, PCA is matching Ohtani's offense, and putting up the best defensive season in the statcast era. If Ohtani had 130 IP under his belt I still think it would be Ohtani. But Ohtani has only pitched half a season and we only have 30 something games left, and frankly, PCA is putting up more run value day in and day out. At the plate, on the bases, and in the field. Ohtani total run value: 52 PCA total run value: 67

I fully recognize - and enthusiastically embrace - that we still have work to do as a program and a department, but I also feel it’s important to pause and reflect on how far this program has come since Lance arrived at the most challenging Power 4 football environment in the country in April 2021. We’ve won 25 games over the past 4 seasons with a pair of bowl appearances. In the 11 seasons before Coach arrived, we won a total of 21 games with zero bowl appearances. Let’s briefly reflect on that...

New today (IR-2026-97): the IRS now offers a digitally authenticated Tax Compliance Report through the Individual Online Account. Translation: clients can download proof of compliance status with an IRS-issued digital certificate baked into the file. Lenders and agencies can verify it directly instead of trusting a forwarded PDF. More info: irs.gov/individuals/tax-comp… #TaxTwitter #EA #CPA
