Wow, just so impressed with this interview. Mr. Smith created enormous value for his shareholders with the stroke of a pen - a model for the industry on governance. Terry Smith: we've listened to the activist and Smithson Investment Trus... youtu.be/huJq5tL8gfA?si=9pzs… via @YouTube

old article but serves as good reminder of pref investing nuances.. 1) prefs generally have poor protections, pay attn especially to CoC 2) high pref/common equity situations are a setup to take private and screw the prefs 3) expert market nuances substack.com/@somerandominve…

Besides listing.. information rights is another important element.. some pref holders are entitled to financials even if they go private And as LT (III) says, some holders can get access even without this right.. guess it’s allowed per Maryland law

This article is relative to the convo and a great story.. btw, I believe the SEC should have more protections in general.. yes, investors should do their due diligence, and own their mistakes. @Spergtastic1 joekraymond.com/making-13x-o…

Some names get caught in no man’s land.. $PREJF was taken private, and moved to OTC but stayed on the tier accessible to retail , pink limited Hence, it traded down but not nearly as much had it gone expert It helps that they are part of a VERY large and reputable insurance co

The cedar deal is also a good story on the lack of fiduciary protections for pref investors… they sued.. and only ended up with a tiny settlement Maryland law is very unfriendly

Knowing the holders and their dynamics matter.. e.g. forced selling by funds that can’t hold otc/expert.. keep in mind not all funds sell.. IIRC ive seen a couple public ETF holders expert, and even more so public CEFs

This last point is also relative for evolving situations such as $GPMT, $lft or $abr prefs.. also equity CoC is high now but who know about their marks, re $ICR.A

$lxp.c had clause to allow holders to convert for $50 par cash plus dividend.. this created good opp at the initial announcement when there was confusion, and the weeks leading up to the merger closure

$CTGG is one of those names that is so cheap.. I disregard my lack of knowledge on the name/sector.. hold my nose.. and buy (Granted.. these buys r dangerous cuz I may not have the knowledge/determination to hold in a larger drawdown)
