Today, we announced that the SEC has declared the Registration Statement on Form S-4 effective. The proposed business combination will be submitted to $CEPT shareholders of record as of May 11, 2026 (the "Record Date"), for approval at a special meeting scheduled for June 29, 2026, and, if approved, is expected to close shortly thereafter. Upon closing of the transaction, the combined company is expected to operate under the name Securitize Corp., and its shares are expected to trade on the NYSE under the ticker symbol "SECZ."

“The hard thing about hard things” by @jserna
The story about Circle freezing a pool due to a court order is significant in the context of our announcement this same week of the @eulerfinance integration-

One of the key things we do when integrating a DeFi protocol is ensuring that if we have the obligation to freeze an investor position we can do that AND ONLY THAT, without having to impact other positions or investors in a pool.
This is much more complex than simply whitelisting a pool address in a permissioned token, and that’s why the capabilities of our DS Protocol being used by Euler enabling this is such a relevant development.
We do the hard things to future proof our utility, and make sure DeFi becomes an advantage and not a risk.

GM kings, I’m excited to share that I’ve recently joined @Securitize as its DeFi Growth Lead!
Tokenization is no longer a theoretical promise — it’s becoming production-grade financial infrastructure. We are already seeing traditional institutional-grade assets move on-chain, not as experiments, but as live regulated products with real capital and real users.
I believe tokenization is the future because it fundamentally changes how capital moves:
• Assets become programmable.
• Ownership becomes more accessible and composable.
• Liquidity becomes continuous, not episodic.
• Distribution shifts from closed systems to open financial rails.
However, tokenization only reaches its full potential when it merges with DeFi — where composability, global liquidity, and full self-custody live.
At @Securitize, I’ll be focused on bridging that gap by:
• Bringing DeFi-native composability to traditional institutional-grade assets.
• Expanding on-chain distribution and liquidity across money markets, exchanges, and public blockchains.
• Partnering with DeFi protocols, stablecoin issuers, and infrastructure providers to make tokenized assets capital efficient and productive.
• Helping issuers and asset managers access new on-chain demand in a fully-compliant and scalable way.
Backed by industry giants like @BlackRock, @MorganStanley, @BNYglobal and many more, Securitize is uniquely positioned here.
The company functions as a SEC-regulated broker-dealer, digital asset transfer agent, an industry-leading $38B digital asset fund administrator, and has issued some of the most meaningful tokenized assets with over $3B in distributed asset value live across 10 leading public blockchains today.
My goal is to ensure these assets don’t just exist on-chain, but work natively in DeFi without compromising on regulatory compliance.
If you’re building in DeFi, exploring RWA distribution, or thinking about how tokenization reshapes capital markets, I’d love to connect.
It is time to Tokenize the World.

I agree with @superstatefunds here, the wrapper model is a bad solution that introduces counterparty risk and fragmentation of the underlying, and it is used as a lazy solution by some to avoid solving the harder problem of providing direct tokenization and ownership of each security.
Tokenization makes assets better, but only when you can directly own the underlying and not introduce counterparty risk.
Our goal as an industry should be to provide the most pure direct ownership while giving users the option to hold through a 3p custodian, broker-dealer, etc while the token itself is a claim on the asset not an indirect wrapper.

It has been an eventful last few days. Let me recap:
- Blackrock's BUIDL exceeded $1B and became the largest tokenized treasury fund, and it is now close to $1.5B. Yesterday, we celebrated its first-year anniversary.
- Our total AUM is now trending towards $3B, the largest tokenization platform in the industry by far
- We launch @convergeonchain with @ethena to bring institutional DeFI and RWAs together
- We hosted tokenized.nyc with the friends from @wormhole and it was an awesome conference
- We won the largest RWA allocation from @sparkfinance with $500M coming into BUIDL soon competing against 39 companies.
Hard work pays off. Thanks to all the people at @Securitize for making this happen, amazing job. More to come next week. Stay tuned.
