On Wednesday(yesterday) at 13:50, @CelticFC updated the Board of Directors and Board Committees pages on its investor website.
What they now show:
- Nomination Committee (recommends new directors): Dermot Desmond (Chair), Brian Wilson, Mark Keane
- Remuneration Committee (sets directors' pay): Brian Rose (Chair), Brian Wilson, Dermot Desmond, Mark Keane
What they still show:
- "Page reviewed: August 2026", on pages edited in October that list a director appointed in September.
- Directors' biographies that don't match the committee lists.
A missed update is an oversight. A pattern is a culture. Which is this?
What David's post means, in plain English:
1ļøā£ Celtic's shares trade on AIM, the London Stock Exchange's market for smaller companies. AIM Rule 26 says every company on it must keep certain information on its website and keep it current: who the directors are, which board committees exist and who sits on them. It's how shareholders see who's running the company.
2ļøā£ Board committees do specific jobs. The Nomination Committee finds and recommends new directors. The Remuneration Committee sets what directors are paid. Each needs a minimum number of members present to make a valid decision. That minimum is called a quorum. Below it, the committee is "inquorate" and can't properly decide anything.
3ļøā£ The public record. Celtic's 2025 Annual Report lists three Nomination Committee members: Peter Lawwell (chair), Dermot Desmond and Tom Allison. Lawwell left the board on 31 December 2025. Allison retired on 15 April 2026. On those numbers, one of the three is left.
4ļøā£ On 18 September 2026 Celtic announced two new non-executive directors. So the fair question is this: which committee recommended them, who sat on it, and was it quorate?
These are the kind of questions shareholders are entitled to ask, and Celtic should be able to answer them simply. If the website is out of date, update it. If the committees have been rebuilt, tell us who's on them.
Shareholders deserve to see how decisions are made. That's all this is about.
It looks like @CelticFC AIM Rule 26 pages are not being kept up to date. It also appears that the Nomination and Remuneration committees are inquorate following Lawwell and Allisonās resignations. @celticCSL @CG_Driven
The talk today and tonight that @CelticFC plc could scrap the in-person AGM this year and run it on Zoom or Teams doesn't stand up.
Company law requires an AGM notice to state a place. Whether a virtual-only meeting meets that test is unresolved, which is why the UK government opened a consultation on 7th September proposing to allow fully virtual AGMs.
That consultation closes on 30th November. Even under the proposal, shareholders would have to consent first.
The emergency Covid rules that let Celtic hold a closed AGM in December 2020 ended years ago. Changing a company's articles to allow virtual-only meetings needs a special resolution: 75% of the votes cast, at a general meeting of shareholders.
The AGM is the one day a year that the people who own shares in this club can put questions to the board face to face. That right doesn't disappear because a meeting is inconvenient.
Shareholders belong in the room. Turn up and vote or give your proxy to @celticCSL

Aggregate. Accumulate. Activate.
In May we published The Celtic Paradox. Finding one said Celtic's revenue swings by £30m to £50m a year on the Champions League alone, and that the board had built nothing to absorb it.
This week @CelticFC plc published its accounts.
- Revenue: £111.0m, down from £143.6m. A fall of £32.6m.
- Result: a £4.8m loss after tax, from a £33.9m profit a year earlier.
- Cash: £66.4m, down £10.9m.
- Player trading profit: £16.0m, down from £31.5m.
The fall landed inside the range we set out five months ago. That was not foresight. It was arithmetic anyone with an annual report could do. Which is the point: if supporters could see it coming, the board could too.
A board that knows a £30m swing arrives every year has two jobs. Reduce the dependence on one competition, and publish a plan that shows shareholders how.
Celtic plc has never published a multi-year strategic plan. Not once in its life as a public company. The chair is interim. Several non-executives have served far beyond the nine years the UK Corporate Governance Code treats as the limit of independence.
A title was won. This is not about the dressing room. It is about how the company is run.
The brand is European. The revenue rides on one draw. The boardroom does not change. That is the Celtic Paradox, and this year's accounts are it in numbers.
At the AGM, shareholders are entitled to ask:
What is the plan to earn money that does not depend on the Champions League?
When will the board publish it, and who is accountable for delivering it?
If you hold Celtic shares, you can ask too.

Get your finger oot yir hole and go find your cert. šš
We the fans already own @CelticFC .
Between 1995 and 2003 the club sold shares to more than 30,000 supporters.
Most were never sold on. They sit in drawers, in lofts, at old addresses, on certificates nobody has looked at in twenty years.
Taken together those holdings are worth about 15.9% of Celticās ordinary shares, roughly the same as the clubās largest institutional investor Lindsell Train.
On Friday Celtic appointed two directors through a committee that has lost two of its three members, with no search process disclosed to anyone. The answer to that is not a complaint. It is a vote. Find your shares. Register them at celticsupporters.net
In November, use them.
