Introduction for new followers
I'm a partner at Rick Steiner Fell & Benowitz, a New York City based law firm which represents banks, credit unions and other lenders on commercial loans. Our clients include some of the largest -- and smallest --institutions. We handle their traditional business banking (C&I), investment, SBA, development agency and other loan facilities.
In the 13 years I've been doing this I have closed thousands of loans worth billions of dollars -- everything from "small" six figure term loans to nine figure syndicated facilities across multiple states.
We also represent business obtaining financing from non-institutional lenders in the business banking and lower middle market space.
Here on X I share thoughts and stories from the trenches and occasional items on silly things my kids say or farming. I'm a lawyer, but not your lawyer, and my DMs are open if you want to chat.
if you send me a reminder to file my BOI forms I will never send you business again. Also instant junk block
Just saying, I'm a lawyer, have a degree in computer science, code, and use a ton of AI tools on a daily basis.
You'd think recruiters would be after me for those Legal Engineer jobs

Liron Barda, 26, was a bartender at the Nova festival and was killed when she stayed behind to help treat the wounded. Her loved ones placed a tombstone where her body was found.
I took this picture just hours after landing in Israel on Jan 1, 2024. It is forever seared into my memory.

I’m more interested in who the brokers were for these two lenders
JUST IN: SBA loan defaults surged at two nonbank lenders, sending $1.3 billion into liquidation. (Inc)
This is a public service announcement
January 2, April 1, July 1, and October 1 are all semiofficial bank closing holidays
Please don’t ask to close your deal on any of them
How do I say this...
You don't want to use AI when you can reduce something to a deterministic solution.
What do I mean?
You don't want to use AI to fill in fields in loan documents or operating agreements.
Instead you want to use AI to build the software that does it for you. And then you don't need the AI tool again for that task.
It's a subtle difference, but a really important one.

It’s interesting to watch people have their first kid and suddenly feel this incredible urge to make a lot more money.
In the past, poor (as in bad) lawyers would just say that they have no comments to the documents, and everyone would move on.
But now with Harvey, Leora and other AI tools, the cost of a quick review is so low that everyone does it and the poor lawyers don’t know that their comments are not worth sending, or they comment on the wrong thing.
Ironically, these tools make it easier to identify the bad or lazy attorneys, providing leverage to the good ones
Interestingly, we recognize the court system can assign damages in individual cases, but as the # of claimants grows the court system can't deal with it on a case-by-case basis, since 10,000 jury verdicts would bankrupt any company, and we view that as economically (and judicially) suboptimal.
So we get class action lawsuits or mass torts, or these kinds of things, where, yes, Amway probably needed to pay more, but if they paid their real damages (on a jury case by case basis) then they'd just be bankrupt, and the value they currently provide would be lost, and that would be bad.
It's interesting to think about the limitations of courts and how the system changes the larger the claim.
Amway just agree to write a $225 million settlement check. The largest monetary recovery the FTC has ever pulled from an MLM 👀
Based on the people I’ve seen get scammed by Amway, it probably should’ve been more tbh…

One of the best accounts here. Can’t believe I only found it recently

It's four pieces of engineering.
The protein is ultrafiltered skim milk, which is milk pushed through a membrane that holds back the protein and strains out water and lactose. That's where 30g comes from and why the sugar is under a gram. Then lactase enzyme breaks down whatever lactose is left, which is why it's lactose free.
The part you're actually tasting is the second line, modified plant fat, EPG. EPG is newer on the market and not widely utilized. It's a fat molecule built so your body mostly doesn't absorb it. It coats your mouth like fat and carries flavor like fat and then leaves without the calories. That's the answer to how it's rich at 150 calories. Sucralose and acesulfame potassium do the sweet, Dutch cocoa does the chocolate, and four different gums do the thickness.
Took me a long time to learn this
Execution is 100X more important than your idea.
Having a bunch of startup ideas is extremely common.
Being able to run a company is not.
Hiring. Delegation. Sales. Problem solving. Decision making. Marketing. Ops.
These things all take real skills and grit.
That’s why almost everyone you know has dozens of startup ideas yet they’ve never built anything or made a sale.
The execution is what's truly valuable and it's way harder than it looks.

I think law firms overrate their “proprietary data” and highly undervalue the know how of their lawyers
They don’t want AI companies training on the data inside their DMS but will let AI companies put forward deployed engineers inside the firm to learn how their lawyers work
Anyone want an Instinct invite? Got a bunch to give out
I’m Noah, the founder of Instinct.
Instinct is a personal agent that we’ve been building for the past few months. The interface is simple: there are no new interfaces. You can text or call it. It's trained to use a phone and a computer in the same way that humans do. Instinct combines simplicity with extreme capability.
I’m thrilled with everything our early users are doing with Instinct. They’ve told us they’ve planned cross-country road trips, bought weekly groceries and concert tickets, and cancelled hundreds of dollars of subscriptions. Someone’s even planning their wedding with Instinct.
We want to make Instinct the best personal agent for all of you. It’s available in an invite-only beta program while we’re actively bringing up more compute. I’m excited to see what you all do with it.
