I know I’ll catch flak for this, but hear me out: what if H¡tler was controlled opposition?
Think about it. Look at Germany today—who’s really in charge? It’s not the white nationalists.
And who’s footing the bill for reparations? Not the J3ws.
The pattern’s clear: figures like H¡tler, or even Trump today, are propped up to seem like they’re shaking the system, but they’re just pieces on the board.
The real players manipulate every side, pulling strings from the shadows.

Only NFTs Can Save ETH
ETH’s current cycle shows how quickly liquidity dries up when projects overpromise and underdeliver.
Many bad actors treated NFTs as get-rich-quick schemes, draining liquidity and leaving buyers wary. Trust in the space has eroded, and that hurts everyone.

Today's DeFi Defender Newsletter: Nike Faces Class Action Lawsuit Over NFT "Soft Rug Pull" and Unregistered Securities Allegations
A new class action lawsuit filed in the Eastern District of New York is putting Nike squarely in the crosshairs of Web3 litigation. The case accuses Nike of promoting and selling unregistered securities in the form of NFTs and then abruptly abandoning the project—an alleged "soft rug pull" that allegedly left investors holding the bag.
The lawsuit centers on Nike's 2021 acquisition of digital design studio RTFKT and the subsequent rollout of Nike-branded NFTs, which promised token holders exclusive access to real-world products, gamified rewards, and a thriving ecosystem backed by Nike's marketing muscle. But in December 2024, RTFKT announced it was winding down operations. Prices of the NFTs plummeted overnight.
At issue isn’t just monetary loss—though that’s certainly part of it—but whether Nike’s promotion of these NFTs amounted to offering unregistered securities and whether its sudden pullback violated state consumer protection laws.
What Are Plaintiffs Claiming?
According to the complaint, Nike:
Marketed the NFTs as investment opportunities, backed by exclusive perks and rising value
Took royalties from secondary market trading, incentivizing ongoing hype
Abandoned the project without notice, causing NFT prices to collapse
Failed to register the NFTs as securities under the Securities Act of 1933
Plaintiffs argue the Nike NFTs meet the definition of a security under the Howey test: purchasers invested money into a common enterprise with an expectation of profit based on Nike’s continued efforts. Nike’s failure to register these digital assets allegedly denied investors the disclosures and protections federal securities laws require.
But That’s Not the Only Legal Hook
The lawsuit doesn’t hinge solely on whether the NFTs were unregistered securities. It also claims Nike's broader marketing narrative misled consumers with false or incomplete promises—a violation of state consumer protection statutes in both New York and California. This two-pronged approach could allow plaintiffs to recover damages even if the securities claims are dismissed.
Analysis: A Two-Front Legal Fight
Plaintiffs will likely argue that Nike created a reasonable expectation that it would continue growing and supporting the NFT project—a key factor in the Howey analysis. The project's abrupt termination, they say, directly undercut that expectation.
Nike, in contrast, will likely claim that the NFTs were never securities, but collectibles with no investment purpose. They may argue they had no legal duty to sustain or indefinitely fund the RTFKT ecosystem—especially if doing so no longer served the company’s bottom line.
Courts, not the SEC, will ultimately determine whether these NFTs were sold as securities. And while the SEC under the Trump administration has backed away from aggressive crypto enforcement, this case will test whether private plaintiffs can still drive securities litigation forward.
Even if the court dismisses the securities claims, plaintiffs may still have a viable route to recovery through the consumer protection counts. Tactically invoking state laws allows the lawsuit to sidestep federal preemption hurdles and creates broader exposure for Nike.
Why This Case Matters
If the plaintiffs prevail, it could have a chilling effect on corporate NFT initiatives. Many NFT collections live forever on-chain. The open question is whether companies like Nike have a continuing legal duty to support a project just because it’s minted.
This debate has been ongoing across the NFT space. What obligations do brands have to communities after launch? Are secondary royalties and hype campaigns enough to establish securities liability? Courts haven’t given us firm answers yet—but this case may help shape them.
Final Take
While plaintiffs face an uphill battle proving the RTFKT NFTs were marketed as securities, their fallback on consumer protection law is clever and potentially potent. This case isn’t just about Nike. It’s about how Web2 brands engage with Web3 assets—and whether they can walk away when market conditions shift.
