🚨 FED RUSHES INTO MAJOR BANKS AS PRIVATE CREDIT DEBT BOMB THREATENS FULL MARKET LIQUIDITY COLLAPSE The New York Fed is already inside JPMorgan, Wells Fargo, Barclays, and Morgan Stanley inspecting their loans to private credit firms because those firms are about to get crushed rolling over hundreds of billions in debt at today’s punishing interest rates. Companies that borrowed cheap a few years ago now face refinancing walls where rates are far higher. Their cash flows cannot cover the new payments, so the private credit lenders that own the loans are marking them down and struggling to fund themselves. Banks that lent to those private credit firms are sitting on the collateral. When the Fed starts asking about collateral quality and counterparty exposure, it means the overnight funding desks are already hearing stress. If one large player cannot roll its paper, the banks holding the other side of those trades get hit at the same time. This freezes repo markets, forces fire sales of bonds and loans, and turns a private credit problem into a market-wide liquidity seizure. This is the exact transmission path that turns isolated losses into a systemic funding crisis. This was exactly warned the famous City of London banker @LordBelgrave at the start of year. The rollover wave is here now. The Margin Calls are about to show up.

Hey there @vladtenev and @DanGallagher: My voice will stay loud. You supported the SEC on U.S. stock tokens. They must carry voting rights, and companies can opt out. How hypocritical of Robinhood if not adopting those same principals offshore. Don’t spit in the face of the SEC.

On Monday (9/21), SEC Commissioner Hester Pierce resigned her post effective October 2. That means there’ll be only 2 SEC Commissioners, out of the 5 mandated by law. Investors are best protected by an active vibrant SEC. I hope those 3 vacancies get addressed in the near term.

CEO ADAM ARON LIVE COMMENTS ON RH STOCK TOKENS: "A few weeks prior to public commentary, Robinhood started to boast about offering stock tokens outside the US - to "non-US persons" - that was a new development by RH. We found the practice to be abhorrent. They were marketing fake synthetic stock token securities offshore, not complying with US securities laws - through some subsidiary through the island of "Jersey" - and we called them out on it. In particular, the response to my tweet on the subject, RH Ceo Vlad - responded "Whats the Concern" and I ANSWERED HIM. I TOLD HIM what the concern was, and my comment was quite blunt. I should point out that the exchange is on X - on the tokenization issue - had ENORMOUS readership so I knew that the subject was of great interest to our shareholder base... my tweets were being read 50-100 X more than the typical tweets that I might issue. I was very pleased that just a 2-3 weeks after this on twitter the US SEC actually came out with a ruling about stock tokenization - in the US - and made it clear that guidelines for stock tokenization efforts that were occur in the US - were parallel to some of the observations that I made on Twitter. The most important of those were that companies like @AMCTheatres would be able to object and not participate in the tokens if the company chose." I think that was a great ruling and RH said they would "accept" the ruling in the US - and I pointed out to RH that it wouuld be highly hypocritical to follow the US rules but continue to issue stock tokens in their "Jersey" subsidiary in the channel islands - not in the US - and it's a practice that we find objectionable and the SEC has weighed in very clearly trying to lay out some rules to the game going forward. I WILL tell you that we take AMC trademarks to be a very sacred asset of this company and we'll be taking STRONG ACTIONS, VERY STRONG against anyone who infringes on our trademarks. WE'RE AWARE OF WHAT'S GOING ON, AND INTEND TO PUT A STOP TO IT. - @CEOAdam quote youtube.com/live/sLf4oRGKCgQ…

AMC carries more debt than Cinemark, but debt alone doesn’t explain this valuation gap. Cinemark trades around $36 while AMC is under $3. Compare enterprise value, revenue, cash flow, liquidity and the improving debt maturity profile—not just the share price. AMC is the world’s largest theatrical exhibitor, the box office is recovering, and billions in debt are being refinanced. You don’t have to believe AMC should trade at Cinemark’s share price to question whether under $3 remotely reflects the value of this business. @sec @finra @CEOAdam
IMAX: $53.38 Cinemark: $36.37 AMC: $2.90 And now they want us to believe AMC is SEVERELY UNDERVALUED?! Retail knew this 5 years ago. Seriously?! 🍿🔥 $AMC #AMCNOTLEAVING

You don’t need a PhD in finance to recognize what just happened at $3.00. AMC touches $3.00, volume explodes, and the price gets slammed straight back to $2.93 within minutes. Tell me $3.00 is a problem for somebody without telling me $3.00 is a problem for somebody. That price action speaks for itself.
$AMC We just tapped $3 again and they brought it down faster than I could blink 😂

Today was an important day in the history of Hollywood. State Attorneys General settled their anti-trust case, so Paramount’s acquisition of Warner Brothers will proceed. I signed on to this transaction back in April because David Ellison pledged to make at least 30 movies per year (66% more than the number made by the two studios last year) and promised to respect theatrical windows. Now with the AG action, those commitments and more will be backed up by a binding five year “Consent Decree.” But I never had any doubt in David Ellison’s desire to support theatrical exhibition. In his heart, he is a consummate movie maker. Want proof? Again watch Skydance’s Top Gun: Maverick, as I did this weekend. And he has a highly able team of executives in place at both studios. My prediction: Paramount and Warner will be in extraordinarily capable hands.

Those giant $AMC prints after 4PM EST at $2.70 weren’t a crime scene. That’s just the NYSE close auction hitting the tape. MOC orders are at the close price - $2.70. Quad witching adds to that volume. Nothing weird here, but as always people will twist normal market mechanics into crime.

AMC runs from roughly $2.66 to $2.78, then almost immediately gets pushed back toward $2.72. We’ve watched this same spike and reversal pattern play out repeatedly. At what point does this price action warrant serious scrutiny? What exactly is driving these abrupt, repeated reversals? Retail deserves transparency, not assumptions. @sec @finra @CEOAdam

What is this? After the bell: 1.79 MILLION shares of $AMC at exactly $2.70. Then 740K, 296K, 235K, 173K, 157K, 134K, 125K and more, again and again at exactly $2.70. Millions of shares changing hands at essentially the same price. This would make even the most novice investor sit up and take notice. It’s suspicious, if nothing else, and warrants regulatory scrutiny. Hello @sec. @CEOAdam I’m sure you are aware sir, but just in case, have a look at this.

I want to extend my highest praise to Paul Atkins, Chairman of the U.S. Securities and Exchange Commission, for the wise decision — perhaps a better characterization being the brilliant decision — he announced today on behalf of the SEC about Stock Tokens.   The SEC granted a five year period of experimentation on this topic in U.S. markets. In doing so, the SEC laid out some inviolate and unequivocally annumerated conditions:   The SEC highlighted that “Investor Protection Is Not Optional.” The SEC clearly laid out that even as it puts forward an “Innovation Exemption,” the SEC has an implicit right to govern on this issue. This means that at least within the U.S., there is an underpinning that appropriate regulatory bodies can regulate  as they think is needed. I believe that over the last full century, investors have best been protected when U.S. regulatory bodies have been involved and U.S. securities laws have been applicable. Thank you, SEC.   The SEC also  emphasized  that there can be “No Synthetics.” Any such Stock Tokens must carry full voting and dividend rights. No synthetics is such a vital and basic concept. Thank you, SEC.   Also of crucial importance, the SEC mandated that “Issuers Can Object.” It said that issuers of stock must have the opportunity to object and prevent their security from being trading on a Tokenized Securities Venue if companies so choose. This puts companies in charge of their own securities and capital structures, not brokerage houses. Thank you, SEC.   I applaud what the SEC did today. Bravo!   And @vladtenev and @dangallagher I note that at Robinhood you accepted and supported the SEC’s ruling today. I call on you now to adhere to the exact same standards internationally. How hypocritical would it be if Robinhood’s stock tokens abroad were to differ materially from stock tokens in the U.S. on these hyper-important matters of investor protections, synthetics and issuer objections.    Adam Aron Chairman and CEO AMC Entertainment
