Well done to Stockland for once again adding the headcount data to today's AGM poll results. Just over 1000 shareholders & they did well with retail on the rem report with 721 in favour and 283 against. It was an overwhelming 97.25% on the shares metric: announcements.asx.com.au/asx…
Monday is normally quietest day for AGMs as companies prefer to avoid sorting any last minute proxy issues over weekend. Surprised today was a 4 meeting Monday:
168. Austco Healthcare
169. BCAL Diagnostics
170. VHM Ltd
171. Stockland
2026 tally now 171: maynereport.com/articles/202…
Lodged these 4 written questions at today's BCAL Diagnostics (BDX) 11am hybrid AGM in Sydney & via zoom. Market cap is $29m. Has got $35m in accumulated losses & negative equity of 826k, so investors are marginally behind. There were no protest votes

BCAL Diagnostics clearly wasn’t expecting any online questions at today’s Sydney hybrid AGM. The question wrangler had to walk her lap top up to the acting chair, Englishman Jonathan Trollip. He sounded sincere indicating that they’ll never repeat last year’s last day laggard AGM
Lodged these 4 written questions at today's 47 minute Austco Healthcare (AHC) virtual AGM. They specialise in health communications dating back to a nurses on call start-up in Perth. Now based in Melbourne. Market cap $86m. No protests. Here's the wrap: maynereport.com/articles/202…
Unlike VHM chair Ian Smith with his no nonsense “yes” response to this question, AHC Healthcare Graeme Billings only said they would consider switching from a virtual AGM to a hybrid next year. He didn’t know the constitutional history. Many of them ban virtual AGMs.
Lodged these 4 written questions at a lively 1 hour VHM Ltd virtual AGM via Zoom today. Hard man chair Ian Smith was in a very obliging mood, agreeing to a hybrid AGM next year & disclosing the 4 withdrawn incentive resolutions went down with 60% against

Wrap of the action from today's 57 minute Stockland hybrid AGM where lodged 5 written questions. No protests which was surprising given market cap plunged $5b to $10b in a year. Interesting exchanges on chair and audit partner succession:

Exit reflections from out-going Stockland chair Tom Pockett. As usual, hiring a top CEO was amongst his greatest hits. He also said they handled COVID very well. No regrets, like 90% of director retirees when asked this question.
Good disclosure on chair succession process at Stockland. It was run by People Committee chair Melinda Conrad (who mustn’t have been a candidate), they had outside help & looked at external candidates before settling on former GPT CEO Bob Johnston, who didn’t speak once today.
New Stockland chair Bob Johnston is getting the same coin as out-going chair Tom Pockett who once again protected him from answering Qs about the $10m+ shareholding he had in GPT when he exited as CEO of the competitor in 2024. Would have been better if Katherine read in full.
A shame that Stockland didn’t read out the AGM best practice question at the end. The 57 minute meeting is done and just have a “moderator” promise that they’ll stick with best practice with new chair Bob Johnston in charge, even though he ran physical AGMs when CEO of GPT.
PwC has never faced a competitive tender during its 14 year run as Stockland auditor. They chose not to tender with this year’s 5 yearly partner hand over and that process saw PwC put up 3 candidates in a beauty parade and Stockland chose Jamie Wills to succeed Jane Reilly.
Many lawyers just say no when it comes to voluntary disclosure measures. Stockland does everything right and for that we should thank Katherine Grace, the chief legal and risk officer. Here she is outlining the procedures.
Will wait until near the end of the Stockland hybrid AGM before lodging question 5 (for obvious reasons) but here is the plan. The first 4 have been lodged so they've got time to work up some scripts as chair and CEO formals are read. Q&A starting now: maynereport.com/articles/202…
Only 3 resolutions up for the vote at Stockland today. Kudos to them for once again releasing the proxy votes along with these formal addresses. No protests votes which is a little surprising with the shares down 33% in a year: announcements.asx.com.au/asx…
The Stockland hybrid AGM kicks off at 2.30pm. The stock is down another 3% today after this operational update. Shareholders will be cranky as the market cap has dropped from $15b to $10b since the last AGM:

First time encounter with delightful Irish accent of Vistra’s Bronagh Freeman, who was question wrangling at VHM today.Tough guy chair Ian Smith folded on this “don’t hide the proxies question” admitting the 4 incentive grant proposals for directors went down with 60% against.
Correction: Ian Smith did well as Newcrest Mining CEO, including through the RSPT wars (he was chair of the Minerals Council as they took on Rudd), who later got fired by Orica in 2015 for being too shouty & aggressive with staff
