American operators hold ~1,000 MHz of low and mid band spectrum, tunable on the @AST_SpaceMobile network. With our current satellites in orbit and in build, our United States partners will access critical low-band and mid-band spectrum that no one can match! When combined with the mobile network operators' extensive spectrum assets, and in combination with AST SpaceMobile controlled 45 MHz of L-band spectrum, users will see peak data rates of nearly 200 Mbps from the largest-ever satellites in low Earth orbit. Together we are making the strongest, most resilient, AI ready networks on the planet. 🇺🇸 🌎📶📱🤠

$ASTS: This is a big nothing burger that has been going on for years and doesn't deserve a post, but as an attorney I feel I must address. Here is the timeline: - 2020: AST Files Federal Lawsuit and Delclaux files a counterclaim alleging a Counterclaim for breach of contract related to unpaid finders fees -- the same claim that is allegedly "news" today. - 2025: The District Court GRANTS $ASTS summary judgment on Delclaux counterclaim, meaning that AST defeated the claim, which, again, is the same claim that was PR'd today. - July 2025: The case is appealed the appellate court says wait a minute I don't think the district court ever had jurisdiction over the case. So the appellate court vacated (voided) the judgment in AST's favor on jurisdictional grounds and dismissed the case. Basically, because the case wasn't supposed to be in federal court, the judgment should have never been issued in the first place and it is void. - Today: Apparently, Delclaux wants to go at it again and filed the same breach of contract claim. This time, they filed it in Florida state court. In sum, this case has been going on for six years. AST won the first version of the case, and now it has to defend against the same claim in the second version of the case. This is truly a nothing to see here PR and it is strange that it was even posted in the first place.
$ASTS: Delclaux partners is suing AST SpaceMobile for $15M in unpaid finder’s fees. It may create legal costs and distraction, but mostly noise.

$ASTS ALL IN. What she said.
$ASTS fell ~16% AH on the word “dilution.” The market read the headline. Almost nobody read the structure. There are two kinds of dilution. One funds the burn: shares sold at the low because the company has no choice. The other buys the bottleneck: long-dated capital that attacks the one constraint holding the thesis back. Today was the second kind, and the term sheet says so five different ways. → $1B convertible due 2034. Seven and a half year money. Not one share sold at $56. → Converts at a premium to be set at pricing. Dilution only happens meaningfully higher. → Management is spending part of the proceeds on capped calls, real cash whose only job is pushing the effective dilution price higher still. Companies that don’t care about shareholders skip that line item. → Settlement at the company’s election: cash, shares, or mix. If the thesis works, they can pay 2034 in dollars, not paper. → Institutions asked to eat $1B of unsecured ASTS credit. They said yes. And the key is the use of proceeds: securing additional access to orbit and cutting reliance on third-party launch. Their launch provider is also their direct competitor. And it’s about to IPO. You do not want your supply chain owned by the company you’re disrupting. This is $1B of independence. Why the ugly tape anyway? Convert buyers short the stock on announcement to hedge. That flow is mechanical, indifferent, and temporary. Flows, not verdict. Read term sheets, not headlines. Yes, bad timing today. Long 🟠 $ASTS
