🚨 No es recomendable lanzarse a certificar la startup como #EmpresaEmergente sin analizar como siempre pros y cons. 🚨 Una vez @enisa ya cuenta con la orden ministerial para que comience el proceso de #Certificación como empresa emergente, deberá hacerse cierta #DueDiligence del #CapTable y verificar interés por parte de los socios en certificar la #Startup En los próximos #AcuerdosDeInversión y #PactosDeSocios que veamos en empresas emergentes las #Manifestacionesygarantías #R&W incluirán a buen seguro un nuevo apartado sobre la debida obtención y mantenimiento de las condiciones para ser #EmpresaEmergente así como obligaciones a futuro #covenants para asegurar el mantenimiento de las condiciones. La #LeyStartup (Ley 28/2022) establece que NO podrán acogerse a los beneficios de la ley aquellas empresas emergentes fundadas o dirigidas por sí o por persona interpuesta, que no estén al corriente de las obligaciones tributarias y con la Seguridad Social, hayan sido condenadas por sentencia firme por un delito de administración desleal, insolvencia punible, delitos societarios, delitos de blanqueo de capitales, financiación del terrorismo, delitos contra la Hacienda pública y la Seguridad Social, delitos de prevaricación, cohecho, tráfico de influencias, malversación de caudales públicos, fraudes y exacciones ilegales o delitos urbanísticos, así como a aquellas condenadas a la pena de pérdida de la posibilidad de obtener subvenciones o ayudas públicas. Asimismo, no podrán acogerse a dichos beneficios quienes hayan perdido la posibilidad de contratar con la Administración. Además se perderán los beneficios de #EmpresaEmergente si socios que sean titulares, directa o indirectamente, de una participación de al menos el 5 % del capital social o administradores de la empresa emergente son condenados por sentencia firme por los tipos delictivos incluidos en el punto anterior. Po otra parte, importante recordar que no solo para obtener sino para mantener los beneficios, debe cumplir entre otras las siguientes condiciones: (i) No distribuir ni haber distribuido #dividendos; (ii) Tener al 60 % de la plantilla con un contrato laboral en España (ojo teoría del vínculo y contrato laboral/mercantil #fundadores en SL); (iii) en general, mantener los requisitos exigidos por la Ley para obtener la certificación. Pivotar a un modelo no escalable, o terminología @luismcabiedes a un #LifeStyleBusiness puede ser de una lectura literal de la norma, causa de pérdida de beneficios. Y, finalmente, recordatorio que aunque Enisa acredite la #SociedadLimitada como #EmpresaEmergente la #LeyStartups establece que en relación con la tributación de las empresas emergentes, la AEAT #Hacienda podrá comprobar el cumplimiento y mantenimiento en el tiempo de los requisitos que se establecen en la Ley, a los efectos de la aplicación de los incentivos fiscales regulados en el capítulo I del título I, y sin perjuicio de las regularizaciones administrativas que procedan. #WelcomeToTheJungle #VentureCapital #España
